PartnerAlly: End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual

or a legal entity) and PartnerAlly, Inc., the licensor and author of the PartnerAlly mobile application

(the "Software"). This EULA governs your use of the Software, which includes all associated media,

documentation, and updates. By downloading, installing, or using the Software, you agree to be

bound by the terms of this EULA. If you do not agree, do not download or use the Software.

Definitions

- EULA: This End-User License Agreement, including any amendments or updates.

- Licensee: The individual or entity using the Software.

- Licensor: PartnerAlly, Inc., headquartered at 254 Chapman Road, STE 208 #14922, Newark, DE

19702.

- Software: The PartnerAlly mobile application and all related services and documentation.

Grant of License

Subject to the terms of this EULA, PartnerAlly, Inc. grants you a limited, non-exclusive, revocable,

non-transferable license to download, install, and use the Software for your personal or internal

business purposes on supported mobile devices. You may not rent, lease, lend, sell, redistribute, or

sublicense the Software.

Intellectual Property

All intellectual property rights in and to the Software, including but not limited to its content, design,

code, trademarks, service marks, and other components, are owned by PartnerAlly, Inc. This EULA

does not convey any title or ownership interest in the Software. You may not use any of

PartnerAlly's trademarks without explicit written permission.

Use Restrictions

You agree not to:

1. Use the Software for any unlawful, harmful, or fraudulent purposes;

2. Attempt to gain unauthorized access to PartnerAlly systems or networks;

3. Reproduce, duplicate, or distribute the Software or its components, except as expressly

authorized;

4. Reverse engineer, decompile, disassemble, or modify the Software, unless permitted by

applicable law;

5. Use any automated means to access or extract data from the Software, including bots or scraping

tools.

Updates and Maintenance

PartnerAlly, Inc. may provide periodic updates, enhancements, or fixes to the Software. These

updates may be automatically installed without further notice. While updates aim to improve

performance, PartnerAlly makes no guarantee of ongoing support or feature continuity.

Support

PartnerAlly is not obligated to provide support or maintenance services. However, users may

contact support through official PartnerAlly channels, subject to availability and discretion.

Termination

This EULA is effective until terminated. It will terminate automatically without notice from PartnerAlly

if you fail to comply with any term(s). You may also terminate it by deleting the Software. Upon

termination, all rights granted under this EULA cease immediately.

Non-Transferability

You may not transfer your rights under this EULA to another party without prior written approval from

PartnerAlly. Any unauthorized transfer shall be considered null and void.

Disclaimer of Warranty

The Software is provided "as is" without warranty of any kind. PartnerAlly disclaims all warranties,

express or implied, including but not limited to warranties of merchantability, fitness for a particular

purpose, or non-infringement. Use of the Software is at your sole risk.

Limitation of Liability

Under no circumstances shall PartnerAlly, Inc. be liable for any indirect, incidental, consequential,

special, or exemplary damages arising from your use or inability to use the Software, even if advised

of the possibility of such damages. PartnerAlly's total liability to you shall not exceed the amount

paid (if any) for the Software.

Indemnification

You agree to indemnify, defend, and hold harmless PartnerAlly, Inc., its officers, employees, and

affiliates from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out

of your misuse of the Software, violation of this EULA, or infringement of any third-party rights.

Governing Law and Jurisdiction

This EULA shall be governed by the laws of the State of Texas, without regard to its conflict of laws

principles. Any legal action relating to this EULA must be brought exclusively in the state or federal

courts located in Travis County, Texas, and you consent to such jurisdiction.

Severability

If any provision of this EULA is held to be unenforceable, the remaining provisions will continue in

full force and effect.

Entire Agreement

This EULA constitutes the complete agreement between you and PartnerAlly regarding the Software

and supersedes all prior or contemporaneous understandings, communications, or agreements.
